The fields in this template
Each {{placeholder}} matches a column name in the sample list, so the two line up on their own.
| Placeholder | What goes in it |
|---|---|
{{Contract No}} | Your reference. Both sides will quote it. |
{{Supplier Name}} | The legal entity name, not the trading name. |
{{Item Description}} | What is being bought, in plain words. |
{{Model}} | Model or part number. |
{{Quantity}} | How many. |
{{Unit Price}} | Formatted as money in your list. |
{{Contract Total}} | Same. |
{{Delivery Date}} | When it must arrive. |
{{Contract Date}} | When it was signed. |
Purchase order or purchase contract?
People search for both and often mean the same thing, but they are not:
| Purchase order | Purchase contract | |
|---|---|---|
| Who issues it | The buyer, alone | Both sides, signed |
| What it is | An offer to buy | An agreement already made |
| Typical length | One page, mostly a table | One to several pages, with terms |
| Used for | Routine repeat buying | A specific deal, a new supplier, larger money |
In practice a purchase order becomes binding once the supplier accepts it, which is why the distinction blurs. Use a contract when the amount is large, the supplier is new, or the terms are not your standard ones.
The four things worth checking every time
- The legal entity name. "Shenzhen Something Trading Co., Ltd." not "Sam's factory". If it goes wrong, this is the name you will be chasing.
- What happens if it is late. Even one line is better than nothing.
- Who pays freight and duties. Name the Incoterm if you use them — FOB, CIF, DDP — because "including shipping" means different things to different people.
- Payment terms. Deposit percentage, balance trigger, days.
This template is a starting point, not legal advice. For anything of size, have a lawyer read your version once — then reuse it forever.
